Terms of Service

3.1 Eligibility

You must have the legal capacity to enter into these Terms. If you are under the age of majority where you live, a parent or legal guardian must review and agree to the relevant agreement. If you register on behalf of an organization, you represent that you have authority to bind that organization.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized access to your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and keep your account information updated.

5.1 Your Content

You retain ownership of the Content you upload. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, and display it only as needed to operate, secure, support, and improve the Services. This license ends when the Content is deleted from the Services, except to the extent retention is required by law, necessary for backups for a limited period, or set out in a separate written agreement.

5.2 Representations

You represent and warrant that:

• You own or have the necessary rights to all Content you upload
• Your Content does not infringe any third-party rights
• All samples are properly cleared or licensed
• Split information accurately reflects agreements with collaborators

5.3 Our Intellectual Property

The Platform, including its design, features, and technology, is owned by 99Eyes Entertainment. You may not copy, modify, or create derivative works without our written permission.

6.1 Submission Terms

By submitting a demo, you confirm that you have the rights needed to send it to us, including rights in any samples and collaborator contributions. We may evaluate it internally and contact you if interested. Sending a demo does not transfer ownership or grant us release, distribution, or commercial exploitation rights.

6.2 No Guarantee

Submission of a demo does not guarantee signing, response, or feedback. We review all submissions but are under no obligation to enter into any agreement.

6.3 Confidentiality

We will use reasonable care to limit access to unreleased demos to people who need it for evaluation. Do not send information you need us to treat as confidential beyond this purpose unless we have agreed to that in writing.

7.1 Distribution Partners

We work with distribution partners including global distribution networks. Distribution is subject to partner requirements and our quality standards.

7.2 Quality Requirements

All releases must meet our technical and quality standards:

• Audio: WAV format, properly mastered, minimum 15MB file size
• Artwork: JPG format, minimum 3000x3000px, 1:1 aspect ratio
• Complete and accurate metadata
• Revenue splits totaling exactly 100%

7.3 No Performance Guarantee

While we provide distribution services and marketing support, we do not guarantee any specific streaming numbers, revenue, or commercial success.

8.1 Subscription Fees

The Platform operates on a B2B subscription model. Pricing is determined by service tier and billed per organization. Current pricing is available upon request.

8.2 Payment Terms

Subscriptions are billed monthly in advance. All fees are non-refundable except as required by law.

8.3 Royalties

Royalty payments are processed according to the terms of individual distribution agreements and split sheets. Payment timing depends on distribution partner reporting schedules.

9.1 Termination by You

You may terminate your account at any time by contacting us. Termination does not relieve you of any outstanding obligations or payments.

9.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with 30 days notice (immediate for serious violations).

9.3 Effect of Termination

Upon termination:

• Your access to the Platform will be revoked
• We may retain data as required by law or legitimate business needs
• Existing distribution agreements remain in effect according to their terms
• You remain liable for any outstanding royalty obligations

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Where you are located in the European Economic Area or United Kingdom, this does not deprive you of the protection of mandatory consumer or data-protection laws of your country of residence.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia, United States.

14.3 Informal Resolution

Before initiating any legal proceedings, both parties agree to attempt informal resolution by contacting each other in writing.

16.1 Entire Agreement

These Terms, our Privacy Policy, and any separate written agreement that applies to you form the agreement for use of the Platform. If a signed recording, distribution, royalty, or other written agreement conflicts with these Terms, that signed agreement controls for its subject matter.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Failure to enforce any right or provision shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations to any successor in interest.

16.5 Modifications

We may update these Terms to reflect changes to the Platform, law, or our business. For material changes, we will give reasonable advance notice when practicable. Changes will not retroactively alter rights or obligations under an already signed agreement unless that agreement permits it or both parties agree in writing.
